Terms of Service

Permitted Use

You shall not scrape data from, tamper with, or sell the Services. Your use of the Services is subject to all applicable laws and regulations, and you are solely responsible for the substance of your communications through SoulShare. By posting information in or otherwise using any Services, you agree that you will not upload, share, post, or otherwise distribute or facilitate distribution of any content — including text, communications, software, images, sounds, data, or other information — that:

• Is unlawful, threatening, abusive, harassing, defamatory, libelous, deceptive, fraudulent, invasive of another’s privacy, tortious, contains explicit or graphic descriptions or accounts of sexual acts (including but not limited to sexual language of a violent or threatening nature directed at another individual or group of individuals), or otherwise violates our rules or policies
• Victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age, or disability
• Infringes on any patent, trademark, trade secret, copyright, right of publicity, or other proprietary right of any party
• Constitutes unauthorized or unsolicited advertising, junk or bulk email (also known as "spamming"), chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling
• Contains software viruses or any other computer code, files, or programs that are designed or intended to disrupt, damage, or limit the functioning of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of any third party
• Impersonates any person or entity, including any of our employees or representatives

Ownership

We will not claim ownership to any of the content or data you provide. We retain ownership of all other content on the site, including our name, logo, design, and other intellectual property (collectively, "Property"). You shall not copy, modify, distribute, use, exploit or make derivative works from any of SoulShare's Property without explicit permission, in writing, from SoulShare.

Rights & Licensing

Your content may be shared with third parties in affiliation with SoulShare, such as social media sites. By adding content to SoulShare, you grant a royalty-free, perpetual, world-wide, license (the “License") to SoulShare and our service providers to copy, modify, reformat and distribute the provided content. The License additionally allows for SoulShare and its service providers to use the name that you provide in association with your content to use, communicate, share, and display your content in connection with SoulShare, in whole or in part, as decided by us.

Attestation

When you add content to SoulShare, you attest that it is your own work, or that you are authorized by the owner to share it using the Services available through SoulShare and grant us the License discussed above. You furthermore attest that any of the rights permitted by the License will not infringe or violate the rights of any third party.

Moderation

We are not obligated to monitor, edit or remove content on SoulShare, however we reserve the right to do so. We also reserve the right to ban accounts that violate our Terms. You agree not to hold us liable for any failure to remove, or delay in removing, any content. Similarly, we will not be held for responsible for any content that is lost as a result of us removing content or banning your account.

Disputes With Other Users

You are solely responsible for any disagreements you may have with other users on SoulShare. We may choose to assist you, but are not obligated to do so. SoulShare shall not be liable to you or any third party in connection with the dispute, regardless of whether SoulShare chooses to assist you.

Privacy

Our Privacy Policy describes how we handle the information you provide to us when you use our Services. You consent to the collection and use of this information, as defined in our Privacy Policy, by SoulShare and its affiliates.

Termination

You may cancel your subscription or delete your account at any time. Likewise, SoulShare reserves the right to cancel your subscription, ban or delete your account if you act maliciously or breach our Terms in any way. You will not be entitled to a refund for unused subscription fees if you choose to cancel your subscription early, or if your actions result in an account ban or deletion. Even after your account has been deleted, these Terms will remain in full effect.

Limitation of Liability

YOU UNDERSTAND AND AGREE THAT THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOULSHARE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES; (iii) ANY CONTENT OBTAINED FROM THE SERVICES; OR (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. IN NO EVENT SHALL THE AGGREGATE LIABILITY OF SOULSHARE EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (U.S. $100.00) OR THE AMOUNT YOU PAID SOULSHARE, IF ANY, IN THE PAST SIX MONTHS FOR THE SERVICES GIVING RISE TO THE CLAIM. THE LIMITATIONS OF THIS SUBSECTION SHALL APPLY TO ANY THEORY OF LIABILITY, WHETHER BASED ON WARRANTY, CONTRACT, STATUTE, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, AND WHETHER OR NOT SOULSHARE HAS BEEN INFORMED OF THE POSSIBILITY OF ANY SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

General

We may revise these Terms from time to time. The changes will not be retroactive, and the most current version of the Terms will govern our relationship with you. We will try to notify you of material revisions to these terms, either through changes to SoulShare's content or by contacting you directly, at our discretion. By continuing to access or use the Services after those revisions become effective, you agree to be bound by the revised Terms. The laws of the State of California, excluding its choice of law provisions, will govern these Terms and any dispute that arises between you and SoulShare. All disputes related to these Terms or the Services will be brought solely in the federal or state courts located in San Luis Obispo County, California, United States, and you consent to personal jurisdiction and waive any objection as to inconvenient forum.

In the event that any provision of these Terms is held to be invalid or unenforceable, then that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions of these Terms will remain in full force and effect. SoulShare's failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
